GovernanceCommercial Service Agreement
Effective Date: October 2026

Terms of Commercial Use

This agreement establishes the commercial terms, operational standards, and data governance policies governing access to the QuantixPulse project intelligence platform across South Africa, the United States, Canada, the United Kingdom, and the European Union.

Section 1

Acceptance of Terms & Sovereign Workspace Formation

Accessing, configuring, or operating a QuantixPulse workspace creates an immediate and legally binding commercial agreement between the contracting organization and QuantixPulse. Creation of a workspace constitutes formal confirmation of authority to bind the enterprise to these terms.

Binding Commercial Contract

Account registration establishes an active software service subscription. Parties reject informal modifications; changes require written confirmation by authorized executive representatives.

Sovereign Workspace Authority

The designated Workspace Owner exercises primary administrative jurisdiction, manages user seat assignments, assigns trade designations, and authorizes commercial integrations.

Section 2

Access Control & Trade Identity Architecture

QuantixPulse maintains an uncompromising architectural separation between workspace security authorization and commercial trade designations. This distinction protects sensitive financial telemetry while enabling multi-trade collaboration.

Workspace Governance Roles

System permissions isolate core data. Workspace Owners hold full ledger governance; Trade Partners access assigned tasks; Evaluators observe active workspaces under read-only parameters with zero mutation authority.

Commercial Trade Designations

Trade labels (General Contractor, Quantity Surveyor, Mechanical Engineer, Electrical Specialist, Client Lead) classify industry functions and task assignments without granting access to internal margin models.

Section 3

Subscriptions, Project Capacity & Commercial Commitments

Subscription tiers define active project slot allocations, team member thresholds, and advanced analytical instrumentation. Organizations select appropriate plans during onboarding.

Project Slot Governance

Workspaces manage projects within their active slot ceiling. Completed or archived contracts release slots for new commercial operations without data deletion.

Foundation Beta Rate Shield

Subscribers holding an authenticated Foundation Beta Pass secure permanent commercial pricing protection, shielding their workspace from general availability rate increases.

Payment & Digital Settlement

Billing recurs monthly or annually in advance. Invoicing and digital processing occur through certified transactional settlement networks with regional currency support.

Section 4

Acceptable Commercial Use & Platform Integrity

QuantixPulse serves active construction ventures, engineering firms, and specialized trade contractors. Operating within the platform requires absolute adherence to commercial data integrity.

Permitted Project Operations

Permitted usage includes cost estimation, milestone verification, field expenditure logging, photographic progress validation, and multi-organization project coordination.

Prohibited Conduct

Prohibited activities include automated scraping, security penetration attempts without consent, reverse engineering algorithmic models, or intentional falsification of financial milestones.

Section 5

Intellectual Property & Sovereign Customer Data Ownership

Commercial organizations preserve complete sovereignty over their proprietary data assets:

Customer Sovereign Data

Subscribers retain complete and exclusive ownership of all project drawings, contracted budgets, material invoices, payroll allocations, photographic field records, and trade contacts uploaded to the platform.

Platform Intellectual Property

QuantixPulse retains all worldwide rights, title, and interest in platform software, algorithms, user interface layouts, telemetry scoring equations, and documentation.

Section 6

Service Continuity & Field Operation Resilience

Field conditions demand dependable operations regardless of remote connectivity constraints:

High Availability Commitment

The platform targets continuous availability for core workspace operations. Scheduled maintenance occurs outside peak commercial hours with advance notification to administrators.

Offline Field Continuity

Field devices record expenses and progress proofs offline. Local client persistence holds records securely and transmits updates upon network restoration without loss of field activity.

Section 7

Cross-Border Regulatory Compliance Across Five Jurisdictions

QuantixPulse structures operational agreements to align with distinct corporate, trade, and data protection standards across five international markets:

Region 1

South Africa

Aligned with the Protection of Personal Information Act (POPIA), South African Companies Act, and ZAR commercial settlement protocols.

Region 2

United States

Aligned with federal commercial transaction standards, state privacy statutes, and interstate construction lien workflows.

Region 3

Canada

Aligned with the Personal Information Protection and Electronic Documents Act (PIPEDA) and provincial corporate governance rules.

Region 4

United Kingdom

Aligned with the UK General Data Protection Regulation (UK GDPR), Data Protection Act 2018, and English commercial contract law.

Region 5

European Union

Section 8

Limitation of Liability & Commercial Dispute Resolution

Warranty Standards

The platform provides operational calculations and telemetry tools on an available basis. Project leaders evaluate real-world engineering and financial factors before committing capital.

Direct Liability Ceiling

Total direct liability remains capped at the total subscription fees remitted by the customer during the twelve months preceding the incident.

Executive Escalation

Disputes follow structured executive discussions between enterprise representatives prior to formal commercial arbitration proceedings.
